1. Acceptance of Terms

By accessing or using the website and services of Lux Cognitiva Technologies Inc. ("Company", "we", "us"), including the CuraNexus™ platform, you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Description of Services

Lux Cognitiva™ provides CuraNexus™, an electronic health record (EHR) platform designed for home-based care agencies. The platform includes clinical documentation, patient management, scheduling, medication administration records, wound care assessment, care coordination tools, and an AI clinical assistant.

Access to the CuraNexus platform is provided under separate service agreements with subscribing organisations.

3. Use of the Website

This website is provided for informational purposes and to facilitate demo requests and business inquiries. You agree to use the website only for lawful purposes and in accordance with these terms.

4. Acceptable Use

When using our website or services, you agree not to:

  • Attempt to gain unauthorised access to any part of the services, other accounts, or systems
  • Use the services for any unlawful purpose or in violation of any applicable laws or regulations
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software
  • Scrape, crawl, or use automated tools to collect data from the website without prior written consent
  • Upload or transmit viruses, malware, or other harmful code
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Interfere with or disrupt the integrity or performance of the services
  • Use the services to store or process data other than for the purpose of home-based clinical care
  • Share, resell, or sublicense access to the platform without prior written consent
  • Remove, alter, or obscure any proprietary notices, labels, or marks

5. User Accounts

Access to the CuraNexus platform requires a valid account provisioned by your subscribing organisation. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.

6. Intellectual Property and Trademarks

All content on this website and within the CuraNexus platform — including text, graphics, logos, software, and design — is the property of Lux Cognitiva Technologies Inc. and is protected by Canadian and international copyright, trademark, and intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from our content without prior written consent.

Trademark Notice

Lux Cognitiva™ and CuraNexus™ are trademarks of Lux Cognitiva Technologies Inc. The Lux Cognitiva logo, CuraNexus logo, CuraNexus icon, and associated brand elements are trademarks or trade dress of Lux Cognitiva Technologies Inc.

All other trademarks, service marks, and trade names referenced on this website are the property of their respective owners.

Nothing on this website grants, by implication or otherwise, any licence or right to use any trademark without the prior written permission of the trademark owner.

7. Data Ownership and Portability

You retain all rights, title, and interest in the data you submit to the CuraNexus platform ("Customer Data"). We do not claim ownership of Customer Data.

We are granted a limited, non-exclusive licence to process Customer Data solely for the purpose of providing and improving the services. Upon termination of your subscription, you may request export of your data in a standard format within 30 days. After this period, we will delete your data in accordance with our retention policies, unless retention is required by law.

8. Clinical Disclaimers

CuraNexus is a clinical documentation and coordination tool. It is designed to support — not replace — the clinical judgment of qualified healthcare professionals.

The AI clinical assistant provides suggestions based on patient data and should always be reviewed by a qualified clinician before acting on any recommendation. The AI does not make autonomous clinical decisions. All AI-generated content requires human review and approval before being entered into the clinical record. Lux Cognitiva does not provide medical advice, diagnosis, or treatment.

In an emergency, call your local emergency services immediately.

9. Warranty Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the services will be uninterrupted, error-free, or free of harmful components. We do not warrant that any content or data will be accurate, reliable, or complete. You use the services at your own risk.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Lux Cognitiva Technologies Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our services, including but not limited to loss of profits, data, goodwill, or business opportunities.

Our total aggregate liability for any claim arising from these terms or our services shall not exceed the greater of (a) the amount you have paid to us in the 12 months preceding the claim, or (b) one hundred Canadian dollars (CAD $100).

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited by applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Lux Cognitiva Technologies Inc., its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the services in violation of these terms
  • Your violation of any applicable law or regulation
  • Any data you submit to the services that infringes the rights of a third party
  • Your failure to maintain the confidentiality of your account credentials

12. Termination and Suspension

Either party may terminate the service relationship upon 30 days' written notice to the other party. We may suspend or terminate your access immediately if:

  • You breach any material provision of these terms
  • Your use poses a security risk to the services or other users
  • Your subscribing organisation's service agreement is terminated
  • Required by law or regulatory authority

Upon termination, your right to access the services ceases immediately. Sections 6 (Intellectual Property), 7 (Data Ownership), 9 (Warranty Disclaimer), 10 (Limitation of Liability), 11 (Indemnification), 14 (Governing Law), and 16 (General Provisions) survive termination.

13. Force Majeure

Neither party shall be liable for any failure or delay in performing obligations under these terms due to causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, epidemics or pandemics, government actions or orders, telecommunications or power failures, cyberattacks, or failures of third-party service providers. The affected party shall provide prompt notice and use reasonable efforts to mitigate the impact.

14. Governing Law and Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.

Before initiating any legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days. If the dispute cannot be resolved through negotiation, either party may submit the dispute to the exclusive jurisdiction of the courts of the Province of Ontario.

For users in the United Kingdom, nothing in this section limits your right to bring proceedings in England and Wales if required by applicable law.

15. Privacy

Your use of our services is subject to our Privacy Policy and Cookie Policy, which describe how we collect, use, and protect your information.

16. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Lux Cognitiva Technologies Inc. and supersede all prior agreements, whether written or oral.

Severability. If any provision of these terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver. Our failure to enforce any provision of these terms shall not constitute a waiver of that provision or any other provision.

Assignment. You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations without restriction.

Electronic Communications. By using our services, you consent to receiving electronic communications from us, including emails, notifications, and updates. You may opt out of marketing communications at any time. All electronic communications are subject to Canada's Anti-Spam Legislation (CASL) and applicable UK regulations.

17. Modifications

We reserve the right to modify these Terms of Service at any time. We will notify you of material changes by posting the updated terms on this page with a revised "Last Updated" date and, where practicable, by email to your registered address. Your continued use of our services after changes are posted constitutes acceptance of the revised terms. If you do not agree to the changes, you must discontinue use of the services.
